Client Work & IP Transfer: Upon receipt of full and final payment for services, intellectual property rights for custom deliverables created specifically for a client — such as logos, custom website designs, branded graphics, or bespoke software — will transfer to the client as explicitly specified in the relevant project proposal or service agreement.

ReddonSoft retains the right to display client project deliverables in our portfolio and marketing materials for promotional purposes, unless the client requests otherwise in writing at the start of the project.

If you register for an account, receive access to a client portal, or are issued login credentials to use our services, the following conditions apply:

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or that we believe may have been compromised.

The following terms apply to all payment and fee arrangements for our services:

• Services will be provided upon mutually agreed terms, pricing, and payment schedules as outlined in the project proposal or service agreement
• All fees and payment milestones are due as specified in the relevant invoice or agreement — please review your agreement carefully before signing
• ReddonSoft reserves the right to pause or suspend work if payment obligations are not met as agreed, without prejudice to any other rights
• Late payments may incur interest charges or result in suspension of services until all outstanding amounts are fully settled
• All prices are quoted exclusive of applicable taxes (including GST where applicable in India) unless otherwise explicitly stated
• Refund eligibility is subject to the specific terms outlined in your individual service agreement
• For ongoing services such as SEO & digital marketing retainers, cancellations must be submitted as per the notice period specified in your agreement

Both ReddonSoft and our clients agree to maintain strict confidentiality regarding sensitive business information. Specifically:

• Both parties agree not to disclose the other party's confidential or proprietary information — including business strategies, technical details, financial information, pricing, client lists, and project specifics — to any third party without prior written consent
• This confidentiality obligation applies during the entire engagement and continues for a reasonable period after the engagement concludes
• Confidentiality obligations do not apply to information that is publicly available, independently developed without use of confidential information, or required to be disclosed by applicable law or court order
• We will sign a Non-Disclosure Agreement (NDA) upon request before commencing any project, if required by the client

ReddonSoft is committed to delivering high-quality work and strives for excellence in every project. However, please be aware of the following legal boundaries:

• We do not guarantee specific outcomes, results, or performance metrics — such as search engine rankings, conversion rates, revenue increases, or social media follower counts — unless these are explicitly committed to in a specific written service agreement
• Our digital marketing and SEO services are subject to the constantly evolving policies, algorithms, and decisions of third-party platforms including Google, Meta, and others — these are beyond our control
• The Site and our services are provided "as is" and "as available" — we disclaim all implied warranties to the fullest extent permitted by applicable law, including implied warranties of merchantability and fitness for a particular purpose
• We do not warrant that the Site will be uninterrupted, error-free, or free from harmful components at all times

To the maximum extent permitted by applicable law, the following limitations of liability apply:

• ReddonSoft will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our services or website

Either party may terminate a service engagement in the following circumstances:

• Clients may terminate ongoing service agreements as per the notice period and termination provisions specifically outlined in their signed service agreement
• Upon termination, any outstanding payments for work completed up to and including the termination date remain due and immediately payable
• ReddonSoft will deliver all completed work and client-owned files upon receipt of full payment of any outstanding amounts
• Either party may terminate a service engagement for convenience with mutual written agreement and as per the notice period in the specific service contract

Sections of these Terms that by their nature should survive termination — including intellectual property rights, confidentiality obligations, limitation of liability, and governing law — shall remain fully in effect after any termination.

These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles or provisions.

Any disputes, claims, or controversies arising out of or relating to these Terms, our services, or your use of our website shall be subject to the exclusive jurisdiction of the competent courts in India.

We reserve the right to modify these Terms & Conditions at any time to reflect changes in our business practices, legal requirements, services offered, or other relevant factors.
